TERMS AND CONDITIONS - LIMITLESS BY EXCLOLAB

Limitless by ExcloLab ("we", "our", or "us") provides IT consultation, integration, ready-made software setup, and execution-based software development services. These Services are offered to business clients on a scoped or hourly basis, either through modular engagements or time-block packages.

Use of our Services is only permitted in jurisdictions where such use does not violate local laws. Clients are solely responsible for ensuring that their use complies with their local regulations.

Our Services are not designed for use in regulated industries (e.g., financial, healthcare) where specific compliance frameworks (e.g., HIPAA, ISO 27001, etc.) are mandatory unless explicitly agreed in writing.

All content, processes, documentation, designs, and software developed during a project remain our intellectual property until full payment is made and explicitly transferred. Any frameworks, modules, or tools used across projects remain the property of Limitless by ExcloLab.

Clients are granted a limited, non-transferable, non-exclusive license to use deliverables for internal business use only. Any breach of our IP terms will result in termination of services and potential legal action.

We operate under an execution-first, scoped model:

• Clients bring business issues or tasks.

• We scope the work and provide an hourly estimate.

• Delivery is executed cleanly based on the scope.

• Clients can start, pause, or stop at any time — no lock-in.

• The first 2-3 hours of work are free if the scoped problem is not resolved.

Deliverables include documentation or handover (if needed) but exclude perpetual maintenance unless contracted separately.

• Pay based on approved scope or hourly estimate.

• Clear outstanding invoices within 14 calendar days.

• Pay additional hours only if pre-approved or if previously agreed within flexible boundaries.

We reserve the right to withhold or delay delivery in case of non-payment.

• The first 2-3 hours are free if we fail to solve the problem as scoped.

• If the scope is delivered but further issues arise beyond that, new scopes will be created.

• Provide clear, timely information and access to relevant systems.

• Approve scope and time blocks before work begins.

• Avoid assigning tasks outside the agreed scope.

Delays caused by client-side inaction, unclear briefs, or unapproved changes will affect delivery timelines and cost.

• Data shared for development purposes will not be used beyond the scope of work.

• Clients are responsible for securing their credentials and backups.

We are not liable for data loss due to client mismanagement or external breach unless proven negligent on our part.

• In case of disagreement, parties will attempt resolution through informal negotiation within 14 days.

• If unresolved, the dispute may proceed to arbitration under Indonesian National Arbitration Board (BANI).

• The client breaches any part of these Terms,

• There's abusive behavior towards our team,

• Payment is delayed beyond 30 days without justification.

Clients may terminate the engagement at any time with written notice. All work done up to that point must still be paid.
